Terms & Conditions (Terms of Service)

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client”, “User”) and the Company (“We”, “Us”, “Our”). By accessing our website, submitting a request, making a payment, or using any of our services, you expressly agree to these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, you must not proceed with payment or service usage.

1. Scope of Services
   We provide professional digital services including but not limited to:
   • Website design and web development
   • Digital marketing, SEO, and advertising services
   • Custom ERP, CRM, and billing solutions
   • AI integration, automation, APIs, and consulting
   • Software development and related digital agency services

The exact scope, deliverables, pricing, and timelines are defined in written proposals, quotations, invoices, or agreements. Any service not expressly stated is excluded.

2. Eligibility & Client Obligations
   You confirm that you are at least 18 years of age and legally capable of entering binding contracts. You agree to provide accurate information and lawful content. You are solely responsible for approvals, credentials, and materials provided to us.
3. Payments & Fees (Manual Billing Only)
   All payments are invoiced manually. We do not store card details or charge automatically.

• Payments may be full advance or milestone-based
  • Work commences only after payment confirmation
  • Failure to pay may result in suspension, delay, or termination
  • Access to deliverables may be withheld until dues are cleared

All fees are exclusive of taxes unless stated otherwise.

4. Service Delivery & Performance Disclaimer
   Delivery timelines are estimates dependent on client cooperation and third-party services. No guarantees are made regarding specific outcomes including but not limited to revenue, rankings, leads, automation accuracy, or AI outputs.
5. Intellectual Property Rights
   All tools, frameworks, code libraries, methodologies, documentation, and pre-existing materials remain our intellectual property. Upon full payment, the client receives rights only to the final deliverables explicitly agreed. Ownership does not transfer until all invoices are paid.
6. Refund Policy (Chargeback-Protected)
   Digital services are custom and non-returnable by nature.

As a limited exception:
• A refund request may be submitted within 12 hours of service delivery
• Requests after 12 hours are automatically rejected
• After this period, all payments are final and non-disputable

1. Mid-project cancellation:
   If a project is canceled after work has begun, a minimum of 25% of the original payment is non-refundable
   • This covers operational, administrative, and development costs
2. Service Dispute & Chargeback Policy
   You agree not to initiate chargebacks, payment reversals, or disputes through banks or payment processors (including Stripe and PayPal) after the allowed refund window.

Any service concern must be raised in writing within 12 hours of delivery. Failure to do so constitutes acceptance of the service as delivered.

Unauthorized chargebacks may result in:
• Immediate service termination
• Permanent account suspension
• Legal recovery of losses, fees, and damages
• Submission of evidence to payment processors to contest disputes

8. Third-Party Services
   We may rely on third-party platforms, APIs, hosting providers, AI models, or payment processors. We are not liable for outages, limitations, policy changes, or failures of third-party services.
9. Limitation of Liability
   To the maximum extent permitted by law:
   • We are not liable for indirect, incidental, or consequential damages
   • Total liability is strictly limited to the amount paid for the specific service in dispute
10. Termination & Suspension
    We may suspend or terminate services for non-payment, misuse, or violation of these Terms. Termination does not waive outstanding payment obligations.
11. Privacy & Cookies
    Your use of our website and services is also governed by our Privacy Policy and Cookie Policy, which explain how personal data is collected, processed, stored, and used. Continued use constitutes acceptance of those policies.
12. Governing Law & Jurisdiction
    These Terms are governed by the laws of England and Wales. Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
